英文合同中的迟延交货处罚条款
LATE DELIVERY AND PENALTY CLAUSE
延期交货和惩罚条款主要规定一方未按合同规定时间而延迟交货，应该向对方按照约定支付一定数额的违约金，以补偿对方的损失。
如果乙方因自身原因而未准时完工，乙方应付违约罚款，每天按总价的千分之一计算，即一千二百六十美元整。
If party B fails to finish the work on schedule due to its own reason, he shall pay to the other party the penalty at 1‰ of the total value of the work per day, that is USD one thousand two hundred and sixty dollars.
如果合资一方未能按本合同第5条规定按期付款，违约方应在逾期后一个月付给另一方10%的利息。如果违约方逾期3个月仍未如资，合同另一方根据本合同第53条规定有权终止合同并向违约方索赔损失。
Should either joint-venturer fails to pay the contribution on schedule according to Clause 5, the default party should pay the other 10% of the interest one month after the dead line. The other party shall hold right to terminate the contract or to claim the damage against / to him according to Clause 53 thereof, if the default party has not done so three months after the deadline.
迟交货与罚款（Late delivery and Penalty）:
除合同第21条不可抗力原因外，如卖方不能按合同规定的时间交货，买方应同意在卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除，罚款率按每＿＿天收＿＿%，不足＿＿天时以＿＿天计算。但罚款不得超过迟交货物总价的____%。如卖方延期交货超过合同规定＿＿天时，买方有权撤销合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。
买方有权对因此遭受的其它损失向卖方提出索赔。
Should the Seller fail to make delivery on time as stipulated in the Contract, with the exception of Force Majeure causes specified in Clause 21 of this Contract, the Buyer shall agree to postpone the delivery on the condition that the Seller agree to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The rate of penalty is charged at______% for every ______ days, odd days less than _____days should be counted as ______ days. But the penalty, however, shall not exceed_______% of the total value of the goods involved in the delayed delivery. In case the Seller fail to make delivery ______ days later than the time of shipment stipulated in the Contract, the Buyer shall have the right to cancel the Contract and the Seller, in spite of the cancellation, shall nevertheless pay the aforesaid penalty to the Buyer without delay.
The buyer shall have the right to lodge a claim against the Seller for the losses sustained if any.
迟延交货责任
LIABILITY FOR DELAY
迟延交付货物约定的损害赔偿金应为：迟延交付货物价款的______％/周，最高不超过迟延交付货物价款的______％。
Liquidated damages for delay in delivery shall be:
____ % (of price of delayed goods) per week, with a maximum of ____ % (of price of delayed goods)____（specify amount）.
如果因迟延交货终止合同，卖方迟延交货应支付的赔偿金限制为未交付货物价款的_____%.
In case of termination for delay, Seller’s liability for damages for delay is limited to ____ % of the price of the non-delivered goods.
If there is delay in delivery of any Goods, the Buyer may claim liquidated damages equal to [1 percent] of the price of those Goods for each commenced [day] of delay.
如果有迟延交付货物，在买方可以要求支付违约赔偿金（以每个开始[天]计算商品价格的1%）。
LATE DELIVERY AND PENALTY: 对交货延迟的处罚
迟交货和罚金：如果卖方未能按合同规定及时交货(除了本合同15条款所言的不可抗力)，买方同意在卖方付罚金的前提下迟交货。罚金的金额不超过迟交货的合同货物部分的价值的5%，罚金按每7日0.5%计算，少于7日的增加天数按7日计。如果卖方未能于合同规定的交货期之后的十周内发运，买方有权取消该合同，除此之外，卖方仍要将有关罚金不加拖延地付给买方。
Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty, however, shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days less than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have the right to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.
迟交货罚款Article 16 Penalty for Late Delivery
如果交货延迟，除非是由于不可抗力，卖方应该就延误部分的货物总价值每周付给买方0.5%的延误罚款。如果时间不足一周，视为一周。总罚金不超过延误部分货物总价值的5%，罚金将从履约保证金或支付款（没有履约保证金的）中扣除。如果超过交货时间10周或以上，买方有权利终止合同，但是卖方并不能因此免除处罚金的义务。
In case of any late delivery, the Seller should pay the Buyer a penalty for delay equal to 0.5% of the total value of such goods as have been delayed on a weekly basis, except for the force majeure. In case the period delayed is less than one (1) week, then one week of delay shall be deemed. The total penalty shall be limited to 5% of the total value of such goods as have been delayed and deducted from performance bond or amount payable( without performance bond). If the period delayed lasts for ten (10) weeks or above since the time of delivery, then the Buyer may terminate the Contract. In such case, the Seller shall not be relieved from the obligation to pay a penalty.
